USER AGREEMENT
WITH THE ZMATIC LTD


Effective 01.05.2021.

This User Agreement between Zmatic LTD and the Clients, both referred to as “Parties” (the “User Agreement”) defines the terms and conditions under which Zmatic LTD offers and Client agrees to use Zmatic LTD Services, as described herein.

IN ORDER TO USE ZMATIC LTD SERVICES THE CLIENT AGREES TO BE BOUND BY THESE CONTRACTUAL TERMS. IF THE CLIENT DOES NOT ACCEPT THESE CONTRACTUAL TERMS THE CLIENT MAY NOT ACCESS OR USE ANY ZMATIC LTD SERVICES.

DEFINITIONS

"Account" means the account registered at the Platform and associated with your email address.

"Agent" means Snov.io acting as representer of the Zmatic LTD, according to the Agency Agreement concluded by them.

"Clients" are individuals or legal entities who order products or services of the Company, in accordance with the contracts that the Agent signs with them.

"Manager" means a representative of the Zmatic LTD.

"Platform" means the website available at: https://snov.io and any of its regional or other domains or properties, and any related tool or application, specifically including iOS App and Android App or other access mechanism.

"User", "you" or "your" means an individual who visits or uses the Platform, including via iOS App and Android App.

Zmatic LTD Services” means the business to provide web users with various information services via Internet, namely:

  • Strategy – Targeting, scope, timeframe

  • Prospecting – finding the prospect’s emails

  • Copywriting – two email sequences per target

  • Email set-up and delivery optimization

  • Email warming if necessary

  • Email outreach using Snov.io automation tools

  • Optimization and reporting

1. HOW IT WORKS

The Client agrees that Zmatic LTD Services are provided on the paid basis. The Client shall pay ZMATIC LTD the Reward on the terms described in this User Agreement.

  1. ACCEPTANCE OF THE USER AGREEMENT
  2. By using the Zmatic LTD Services and paying of the Zmatic LTD Reward, the User confirms that he or she is fully acquainted with the terms of this User Agreement and accepts it. If the User does not agree with the provisions of this User Agreement in whole or in part, the User must not use the Zmatic LTD Services.

  3. CHANGES TO THE USER AGREEMENT
  4. This User Agreement may be amended by the Zmatic LTD unilaterally. The new version of the User Agreement comes into force from the moment of its placement at: „https://zebradigital.eu/agreement“
    In this case, the Zmatic LTD undertakes to notify the User of changes by posting a notice on the Website at least five (5) calendar days in advance during which the User has the right to agree or disagree with the changes. The period of such notice may be extended at the discretion of the Zmatic LTD, in the event of significant changes, or reduced if such changes are required by national law. Use of the Zmatic LTD Services after any changes and additions to the User Agreement means consent to such changes and (or) additions.
    IF THE USER REFUSES TO ACCEPT CHANGES TO THE USER AGREEMENT, THE USER SHOULD NOT USE ZMATIC LTD SERVICES.

  5. ACCOUNT PROFILE
  6. Registration of the Account must be complete in accordance with Terms and Conditions placed on the Platform.

2. ZMATIC LTD REWARD

2.1. For the performance of the Zmatic LTD Services under this User Agreement, the Client shall pay a fee:
2.1. for 1 account, up to five thousand (5000) emails monthly – six hundred ninety-nine (699) EURO;
2.2. for 2 accounts, up to ten thousand (10 000) emails monthly - one thousand and one hundred ninety-nine (1 199) EURO;
2.3. for 3 accounts, up to fifteen thousand (15 000) emails monthly – one thousand and six hundred ninety-nine (1 699) EURO.
The amount of remuneration is determined without VAT.
Zmatic LTD and the Client may agree other scope of services with other amount of the Zmatic LTD Reward.

3. ZMATIC LTD SERVICES INVOICING AND PAYMENT

3.1. Invoice for the Zmatic LTD Services is prepared and sent by the Agent.
3.2. Zmatic LTD Reward should be paid by the Client within three (3) working days from the moment of receiving from the Agent the Invoice/payment link.
3.3. In case of violation of the terms of payment for the Zmatic LTD Services, Zmatic LTD has the right to stop providing the Client with the Zmatic LTD Services.

4. ROLE OF AGENT AND CLIENT RESPONSIBILITIES

4.1. You understand and agree that Agent is not a party of any agreement within Zmatic LTD and the Client, is not involved in or responsible for any work performed or services provided by Zmatic LTD, is not involved in or responsible for any payment made under the negotiation of the Zmatic LTD and the Client and has no control over any Zmatic LTD or the Client.

5. ZMATIC LTD SERVICE RENDERING TERMS

5.1. Zmatic LTD Services Should be rendered during a month from the receiving payment from the relevant Client or in other terms agreed by the Client and the Zmatic LTD.

6. LAW AND DISPUTES RESOLUTION

This User Agreement will in all respects be governed by the laws of the Bulgaria.
You are solely responsible for your interactions and disputes with other Users and Visitors of the Platform.
If a dispute arises between you and Zmatic LTD, we encourage you first to contact us at legal@zebradigital.eu or resolve disputes using certified mediation (such as online dispute resolution processes). If a dispute cannot be resolved then the User irrevocably submits to the non-exclusive jurisdiction of the courts of the Bulgaria.

7. REFUND

7.1. In the event of refuse of Zmatic LTD Services with valid reasons and after complete dispute resolution procedure according to paragraph 6 of this User Agreement, the Client should inform Zmatic LTD about decision of refund Zmatic LTD Reward. Refund should be made by the Agent within 10 [ten] days from the moment of informing by the Zmatic LTD.

8. OTHER PROVISIONS.

8.1. Any rules, policies and notices that are related and may arise under this User Agreement and posted on the Platform are an integral part of the User agreement. The text of the User Agreement is open and publicly available. This User Agreement are concluded for an indefinite period and apply to the User who gains access to the Platform and uses the Zmatic LTD Services, on the date of such access and use.
If any of the conditions or provisions of the Terms are declared invalid by a court or body of territorial and instance jurisdiction, it does not lead to the invalidity of any other provisions of the User Agreement.
